Terms of Service - DIGITCDS

By using DIGITCDS ("Service"), including uploading music, artwork, or creating an online CD ("Your Content"), you agree to these Terms of Service. If you do not agree, do not use the Service.

1. User Content and Submissions

You retain ownership of Your Content (music files, album art, and related materials). By submitting Your Content to DIGITCDS, you grant us a limited, non-exclusive, royalty-free license to host, display, stream, make available, and distribute it via the Service as needed to provide the online music player functionality.

You represent and warrant that:

• You own or control all rights to Your Content (including copyrights in the compositions and sound recordings).
• Your Content does not infringe any third-party rights (including copyright, privacy, publicity, or trademark).
• For any cover songs or copyrighted material used, you have obtained all necessary written permissions, licenses, or declarations from rights holders and will provide proof upon request.

You are solely responsible for ensuring compliance with all applicable laws regarding Your Content, including notifying users if it includes copyrighted material (e.g., covers).

2. Downloads and Honor System Payments

The Service allows users to download Your Content for free. Any payments are voluntary and made directly to DIGITCDS on the honor system. DIGITCDS will distribute proceeds to you according to the pre-agreed arrangement between you and DIGITCDS. You agree that:

• DIGITCDS bears no responsibility or liability for users downloading Your Content for free, failing to pay, or any disputes over payments.
• You assume all risk and responsibility for enforcing payment expectations or pursuing any non-payment issues.

3. Disclaimers and Limitation of Liability

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. DIGITCDS disclaims all liability for:

• Any infringement claims arising from Your Content or user downloads/sharing.
• Accuracy, legality, or copyright compliance of Your Content.
• Any loss, damage, or unauthorized use of Your Content.
• Technical issues, interruptions, or loss of access to the Service.

To the fullest extent permitted by law, DIGITCDS, its owners, affiliates, and agents shall not be liable for any indirect, incidental, consequential, or punitive damages. Total liability is limited to the amount you paid DIGITCDS in the prior 12 months (or $100, whichever is greater).

4. Indemnification

You agree to indemnify, defend, and hold harmless DIGITCDS, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service or submission of Your Content.
• Any breach of your representations, warranties, or these Terms.
• Third-party claims related to copyright infringement, unauthorized use of copyrighted material, or other intellectual property issues in Your Content.
• User actions involving downloads, sharing, or non-payment related to Your Content.

5. General

DIGITCDS may remove Your Content or terminate your access at any time without notice or liability, including for suspected infringement or violation of these Terms. These Terms are governed by Country specific laws of all Global Jurisdictions, without regard to conflict of laws principles.
